Adobe's $20 billion deal to acquire Figma has collapsed due to regulatory roadblocks, resulting in a $1 billion breakup fee for Figma. The failed merger is a high-water mark for software M&A and has significant implications for both companies. Figma's rise as a remote collaboration platform for designers has led to its takeover of the market, impacting Adobe's business. The EU's regulatory concerns were a key factor in terminating the merger, which will cost Adobe a significant amount.
