Nippon Steel Corp. has completed its takeover of United States Steel Corp., paying about $14.9 billion, or $55 a share, after an 18-month regulatory review. The transaction removes the 123-year-old producer from the New York Stock Exchange and makes it a wholly owned subsidiary of the Japanese company while preserving U.S. Steel’s name and Pittsburgh headquarters.
To secure Washington’s approval, the companies signed a national security agreement that issues a single “golden share” to the U.S. government. The share allows the sitting president—or a designated official—to appoint an independent director and veto decisions such as plant closures, job transfers overseas, changes to the company’s name or headquarters, and reductions in promised capital spending. The arrangement gives President Donald Trump an uncommon degree of direct oversight of a private corporation.
Nippon Steel has pledged roughly $11 billion of new investment in U.S. Steel through 2028, including funds for a new mill and upgrades intended to keep production “mined, melted and made in America.” The deal lifts the group’s annual crude-steel capacity to about 86 million tons, consolidating its position as the world’s fourth-largest producer and deepening its exposure to a U.S. market protected by 50% steel tariffs.
The buyout had faced opposition from both former President Joe Biden and Trump before the current administration reversed course and accepted the revised terms. The United Steelworkers union, which previously criticized foreign ownership, said it will monitor compliance with job and investment commitments as the two companies begin integration.
